Terms of Service

1. Account & Wallet Eligibility

You must be (i) at least 18 and (ii) legally competent in your jurisdiction. Interaction with on-chain components requires sole control of a Solana-compatible wallet. KYC information must be accurate and current. All signatures produced by your wallet are deemed authorized by you.

2. Marketplace Scope

Novaneed lists SPL tokens that represent title to standardized warehouse-stored physical goods (“Commodities”). Tokens trade continuously through dynamic liquidity market makers (DLMMs) and limit-order pools. Novaneed is not a counter-party to secondary trades and does not guarantee depth or price. Token holders may optionally redeem under Section 3.

3. Redemption & Warehouse Dispatch

Redeeming burns the corresponding tokens and generates a pick-ticket at our warehouse. You must (a) settle shipping, duties, and handling fees within 24 hours and (b) provide an eligible address. Failure voids the request and tokens are re-minted to you minus a 0.25 % admin fee. Normal dispatch is within 3 business days; customs or carrier delays are outside our control.

4. Finality & Cancellations

On-chain token transfers are irreversible. A redemption may be canceled only within 30 minutes of submission if the pick-ticket has not yet been released. After that, the request is final.

5. Condition Discrepancies

Commodities are inspected before tokenization and stored in sealed, humidity-controlled facilities. If the delivered item materially deviates from the published spec, open a ticket within 7 days and keep the original packaging. Our sole remedy is, at our discretion, (i) replacement shipment or (ii) USDC refund of the redemption price. We do not accept discretionary returns.

6. Prohibited Conduct

You agree not to:

• Violate sanctions or export-control laws.
• Manipulate market prices, volumes, or curves.
• Exploit smart-contract vulnerabilities or engage in MEV attacks.
• List counterfeit, non-standard, or contraband goods.
• Introduce malware, DoS traffic, or scrape private endpoints.

Breaches may result in frozen wallets, token seizure, or referral to law enforcement.

7. Fees & Settlement

LP fees, taker spreads, and protocol cuts are displayed in real time and deducted on-chain. Solana gas is your responsibility. Fiat shipping charges for redemptions are processed via our payment provider; high-risk regions incur a surcharge. Fees are non-refundable unless expressly stated.

8. User-Generated Content

By posting reviews or analyses you grant Novaneed a perpetual, sublicensable license to display and moderate that content. Automated “MoonMood” ratings may be applied; you waive any claim arising from such automation.

9. Risk Disclaimer & Limitation of Liability

Commodity prices, token valuations, and network conditions are volatile. You may lose the entire value of your holdings. Except for gross negligence or willful misconduct, Novaneed is not liable for indirect or consequential damages. Our aggregate liability is capped at the greater of USD 100 or the fees paid to us in the preceding 12 months.

10. Dispute Resolution

Disputes are resolved by binding arbitration (JAMS Streamlined Rules) seated in New York, NY, unless you opt out within 30 days. Either party may seek interim injunctive relief to protect IP or trade secrets.

11. Amendments

We may update these Terms at any time. Changes take effect immediately for new users and 30 days after posting for existing users. Continued use constitutes acceptance.
